Welcome to Plato Plus LLC ("Plato+," "we," "our," or "us")! By accessing or using our services, including our website, www.platoplus.com, and associated platforms, you ("Client," "User," or "you") agree to be bound by these Terms and Conditions. If you do not agree with any part of these Terms, you must refrain from using our services.
1. Acceptance of Terms
By accessing, using, or registering for our services, you agree to comply with these Terms and Conditions. You represent that you are at least 18 years old, or the parent or legal guardian of a minor, consenting to the minor's use of Plato+'s services in accordance with these Terms.
2. Services Provided
Plato+ offers subject tutoring, college counseling, standardized test prep outdoor educational adventures, and professional mentorship. Services may vary based on availability, location, and tutor expertise. We reserve the right to modify, discontinue, or update any service offerings at any time without prior notice.
3. Registration and Account Responsibility
You must register for an account to access certain features of our services. You agree to provide accurate, complete information during the registration process and update it as necessary. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Plato+ is not liable for any unauthorized use of your account.
4. User Conduct
You agree not to use our services for any unlawful purpose or in violation of these Terms. You are responsible for all information and content submitted via your account. Prohibited behavior includes, but is not limited to:

Misrepresentation of your identity or affiliations

Interference with or disruption of our services

Infringement on intellectual property rights

Harassment, abuse, or harm to any other user, student, or Plato+ staff
Plato+ has a Zero Tolerance Policy for sexual misconduct, harassment, or abuse of any kind. All users, staff, and students are required to adhere to this policy. Violations of this policy may result in immediate termination of services, reporting to relevant authorities, and legal action.
5. Open-Space and Open-Door Policy
Tutors are required to conduct sessions in open, visible spaces when possible. If open spaces within the home are occupied or distracting, we instruct tutors to conduct sessions in a room with an open door. For tutoring services taking place at a student's home, we strongly encourage that a parent or guardian remain on the premises during the session.
6. Reporting Misconduct
If you witness or experience any misconduct, including but not limited to sexual harassment or abuse, you are required to report the incident immediately to Plato+ by calling (650) 556-5995 or email . Reports can be made confidentially, and we will conduct a thorough investigation following all applicable legal requirements. Plato+ will cooperate with law enforcement and any appropriate authorities as required.
7. Payment and Refund Policy
All fees for services provided by Plato+ are due upon receipt, as outlined during the registration or scheduling process. Payment must be made using the methods provided on our website. Late payments may incur additional fees, and failure to pay may result in the suspension or termination of services.
Refunds are provided at Plato+'s discretion. Refunds may not be provided for services already rendered or if a user fails to cancel an appointment within the required cancellation window (24 hours prior to the appointment).
8. Cancellations and Rescheduling
If a student needs to cancel a session, they may reschedule it within the same monthly pay period at no additional cost. If the session is not rescheduled within this time frame, it will go unused, and no refund will be issued. Plato+ reserves the right to cancel or reschedule appointments due to unforeseen circumstances, including tutor availability or weather conditions, in which case a refund or rescheduled session will be offered.
9. Limitation of Liability
To the fullest extent permitted by law, Plato+ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

Your access to or use of or inability to access or use the services;

Any conduct or content of any third party using our services;

Any content obtained from the services;

Unauthorized access, use, or alteration of your transmissions or content.
In no event shall Plato+’s total liability for all claims related to the services exceed the amount you paid Plato+ in the twelve months prior to the event giving rise to liability.
10. Disclaimer of Warranties
Plato+ services are provided on an "as is" and "as available" basis. We make no warranties, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and title. Plato+ does not guarantee that our services will be error-free, uninterrupted, or that any defects will be corrected.
11. Indemnification
You agree to indemnify, defend, and hold harmless Plato+, its officers, directors, employees, contractors, agents, licensors, and suppliers from and against all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that arise from:

Your use of the services;

Violation of these Terms;

Any misconduct or allegations related to your interactions with students or Plato+ staff.
Parents/legal guardians of minors using Plato+ services agree to indemnify and hold Plato+ harmless from any and all claims related to allegations of sexual misconduct or abuse, except where Plato+ is found to be grossly negligent or liable for intentional harm.
12. Sexual Misconduct Liability Disclaimer
Plato+ takes allegations of sexual misconduct very seriously. All Plato+ staff undergo comprehensive background checks and are trained to maintain appropriate professional boundaries with students. However, Plato+ shall not be held liable for any claims related to sexual misconduct unless such claims result from gross negligence or intentional wrongdoing by Plato+ or its employees.
We strongly encourage parents/legal guardians to be present during tutoring sessions, especially when minors are involved. This proactive measure helps ensure the safety of all parties and reduces the risk of misunderstandings or false claims.
13. Privacy Policy
Your use of our services is subject to our Privacy Policy, which outlines how we collect, use, and protect your personal data. By using our services, you consent to the data practices described in our Privacy Policy, available at www.platoplus.com/privacy-policy.
14. Intellectual Property
All content, including text, graphics, logos, images, audio clips, and software, provided by Plato+ is the property of Plato+ or its licensors and is protected by copyright, trademark, and other applicable laws. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any part of the services without express written permission from Plato+.
15. Termination
Plato+ may terminate or suspend your access to the services at our discretion, without notice, for conduct that we believe violates these Terms or is harmful to our interests. You may terminate your account at any time by contacting us, though any outstanding payments or fees will remain due upon termination.
16. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively through arbitration in San Mateo County, California, in accordance with the rules of the American Arbitration Association.
17. Changes to the Terms
Plato+ reserves the right to modify these Terms at any time. We will notify you of any changes by updating the "Last Updated" date at the top of this page. Your continued use of our services after such changes constitutes your acceptance of the new Terms.
